The General Assembly of the Eridania Béghin-Say Group, held on June 25, 2001, under the chairmanship of Stefano Meloni, voted almost unanimously in favour of the split of the group into four specialised, sector-specific companies. This demerger will take effect on Saturday, June 30 following the four extraordinary General Assemblies of the new companies: Béghin-Say (sugar), Cereol (oils), Cerestar (starches), and Provimi (animal feed). Eridania Béghin-Say shares, quoted on the main Paris-Euronext Stock Exchange, will be delisted on July 2. For each Eridania Béghin-Say share, shareholders will receive one Béghin-Say share, one Cereol share, one Cerestar share and one Provimi share. The shareholders of each of the new companies will thus be the same, on July 2, 2001, as those of Eridania Béghin-Say, with a minor difference resulting from the exchange of the investment and voting rights certificates and the cancellation of those Eridania Béghin-Say shares held by the company itself on June 30, 2001. The four new companies will be quoted on the main Paris-Euronext Stock Exchange as of July 2, at the introductory prices of 22 euros, 35.3 euros, 42.6 euros and 19.1 euros respectively.
